Yorkville Advisors completes two financings out of London - 11/19/2010
• Yorkville enters into £10.5m Standby Equity Distribution Agreement (SEDA), an equity facility, with Red Rock Resources
• Yorkville invests US$2m (£1.3m) in SEDA backed loan note agreement with Regency Mines
(London/New Jersey, 19 November 2010) Yorkville Advisors, LLC (Yorkville), the US-based alternative investment manager, is pleased to announce that it has entered into two separate financing agreements on behalf of YA Global Master SPV Ltd. Both deals were advised out of London.
Yorkville has completed a £10.5 million Standby Equity Distribution Agreement (SEDA) with AIMlisted Red Rock Resources Plc (AIM:RRR), a gold mining and exploration company. Red Rock Resources entered into the SEDA as a means of raising additional capital, as and when required, in order that the company is positioned to make opportunistic acquisitions.
Pioneered 10 years ago by Yorkville, a SEDA offers companies a low risk, cost effective way of optimising their capital structure in pursuit of their growth strategy. Pursuant to the terms of the SEDA, Red Rock Resources has the discretion to withdraw funds of up to £10 million in tranches in exchange for the issue of new equity for up to 36 months.
Yorkville has also entered into a US$2 million (£1.3 million) SEDA backed loan note agreement with AIM and Frankfurt listed Regency Mines Plc (AIM: RGM; Frankfurt: RM4), which is focused on mining investment and on exploration of areas of nickel and copper potential in Western Australia, Queensland, and Papua New Guinea. The loan note will provide immediate capital to Regency Mines to acquire an interest in Oracle Coal Fields.
Both deals demonstrate Yorkville’s intention to become a long-term financial partner to its investee companies, providing a range of flexible debt and equity investments and financings. This is Yorkville’s fifth financing with Red Rock Resources, following a SEDA in April 2009 and three subsequent debt facilities, and third financing with Regency Mines, following a SEDA agreement in September 2009 and then a debt facility.
